Item 5.05. Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.
The Board of Directors of Chuy’s Holdings, Inc. (the “Company”) approved an amendment to its Code of Business Conduct and Ethics that applies to all directors, officers and employees of the Company. The Company amended the Code of Business Conduct and Ethics, effective February 27, 2014, to reflect the whistleblower hotline number and provide contact information for reporting a complaint or concern regarding an accounting matter.
A copy of the Code of Business Conduct and Ethics is publicly available on the Company’s website at www.chuys.com under the Investors section.
