Item 8.01. Other Events.
On February 27, 2014, Foster Wheeler AG (the “Company”) issued a press release announcing that the Company’s Board of Directors recommended the payment of a cash dividend of $0.40 per registered share, subject to approval by the Company’s shareholders at the Company’s annual general meeting, to be held on May 7, 2014.
Attached hereto as Exhibit 99.1 and incorporated by reference is the press release referred to above, which contains additional information concerning the matters discussed above.
