ITEM 8.01 Other Events
On February 26, 2014, Interline Brands, Inc., a Delaware corporation (“Interline” or the “Company”), issued a press release announcing that the Company and its wholly-owned subsidiary Interline Brands, Inc., a New Jersey corporation (“Interline New Jersey”), are pursuing a proposed debt refinancing and, in connection therewith, Interline New Jersey has commenced a cash tender offer and consent solicitation for Interline New Jersey’s 7.50% Notes due 2018. The press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
