Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On February 21, 2014, Victor J. Dzau, M.D. confirmed to Alnylam Pharmaceuticals, Inc. (the “Company”) that he intends to resign from the Company’s Board of Directors (the “Board”) effective June 30, 2014, as a result of his pending appointment as President of the Institute of Medicine effective July 1, 2014. Dr. Dzau will continue to serve as a member of the Company’s Board until such time.
