Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 24, 2014, Richard M. Berkeley notified WageWorks, Inc. (the “Company”) that since his private equity firm has sold substantially all of its stock in the Company, he expects to resign as a member of the Board of Directors of the Company, effective May 13, 2014, the date of the Company’s annual stockholder meeting. Such decision to resign did not relate to any disagreement with the Company.
