EXPLANATORY NOTE
This amendment on Form 8-K/A is being filed to correct a typographical error in Item 2.02 of the Form 8-K previously filed by United Insurance Holdings Corp. with the Securities and Exchange Commission on February 19, 2014 (the Original 8-K). This amendment on Form 8-K/A amends and restates in its entirety Item 2.02 of the Original 8-K. No other changes were made to the Original 8-K.
Item 2.02. Results of Operations and Financial Condition
On February 19, 2014, United Insurance Holdings Corp. (the Company, we, our) issued a press release relating to our earnings for the fourth quarter ended December 31, 2013 (the Earnings Release). We have attached a copy of the Earnings Release as Exhibit 99.1. The information furnished under this Item 2.02, including Exhibit 99.1 attached hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Act of 1934, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, except as shall be expressly set forth by specific reference to such filing.
