Other Events
 
On February 24, 2014, Delphi Corporation (the “Company”), a 100% owned subsidiary of Delphi Automotive PLC (“Delphi”), announced that it intends to redeem for cash the entire $500 million aggregate principal amount outstanding of the Company’s 5.875% Senior Notes due 2019 (the “2019 Notes”). The 2019 Notes are redeemable at a redemption price that includes a make-whole premium, plus any interest accrued and unpaid to the redemption date. The redemption is expected to occur on March 26, 2014, subject to satisfaction or waiver by the Company of the condition described below.
 
The Company expects to finance the redemption with the net proceeds of the previously announced public offering by the Company of one or more series of new senior notes (the “New Notes”).  The redemption is conditioned upon the closing, prior to the redemption date, of an offering of New Notes generating gross proceeds of at least $500 million.
