Item 5.07 Submission of Matters to a Vote of Security Holders.

Pursuant to the Notice of Special Meeting of Shareholders and Definitive Proxy Statement dated January 21, 2014, the Special Meeting of Shareholders was held on February 21, 2014. The shareholders approved the proposed transaction whereby the mobile payments business and assets of the Company's 51% owned subsidiary would be sold to Utibe Pte, Ltd. 55,017,947 votes were cast, presenting 57.42% of the outstanding shares as of the record date of January 22, 2014, of which, 54,560,406 were cast for the proposal, representing 99.16% of the votes cast.
