Item 2.02. Results of Operations and Financial Condition.

On February 20, 2014, Curis, Inc. (the “Company”) announced its financial results for the fourth quarter and fiscal year ended December 31, 2013. The full text of the press release issued in connection with the announcement is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

The information contained in Item 2.02 in this Current Report on Form 8-K, including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as expressly set forth by specific reference in such a filing.

 

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 18, 2014, the Company and Daniel R. Passeri, the chief executive officer of the Company, entered into a letter agreement effective as of December 31, 2013 (the “Letter Agreement”), pursuant to which the parties mutually agreed to extend the term of Mr. Passeri’s employment agreement dated as of September 18, 2007, as amended October 27, 2008, December 16, 2010 and January 18, 2013, until December 31, 2014.

The forgoing summary of the Letter Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of such Letter Agreement, a copy of which is attached hereto as Exhibit 10.1 and is incorporated into this Item 5.02 by reference.
