Item 7.01. Regulation FD Disclosure.

On February 17, 2014, Actavis plc (“Actavis”) and Forest Laboratories, Inc. (“Forest”) issued a joint press release announcing the execution of an Agreement and Plan of Merger (the “Merger Agreement”) by and among Actavis, Tango US Holdings Inc., a Delaware corporation and a direct wholly owned subsidiary of Actavis, Tango Merger Sub 1 LLC, a Delaware limited liability company and a direct wholly owned subsidiary of US Holdco, Tango Merger Sub 2 LLC, a Delaware limited liability company and a direct wholly owned subsidiary of US Holdco, and Forest. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. Actavis and Forest also prepared an investor presentation relating to the transactions contemplated by the Merger Agreement, which was made available beginning on February 18, 2014. A copy of the presentation is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
