Item 1.01.Entry into a Material Definitive Agreement.

 

On February 12, 2014, the registrant executed a lease (the “Lease”) with 520 Capitol Mall, Inc., a Delaware corporation. The Lease relates to office space to be occupied by the registrant’s banking division, American River Bank. The premises related to Lease is located at 520 Capitol Mall, Suite 200, Sacramento, California. The lease term begins on or about June 1, 2014 and ends on or about October 31, 2024. The term of the Lease is one hundred and twenty-five (125) months. Suite 200 represents a relocation of the existing premises located in the same building in suite 100 (“Former Location”). The lease on the Former Location is scheduled to expire on June 1, 2014 and will not be renewed. The foregoing description is qualified by reference to the Lease attached as Exhibit 99.1.
