Item 5.02 Departure of Directors or Certain Officer; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Naomi Whittel resigned from the Company’s Board of Directors (“Board”) on February 10, 2014. Ms. Whittel explained that other commitments have become too demanding for her to fulfill the needs and requirements of the Board. There is no disagreement between Ms. Whittel and the Company on any matter relating to the Company’s operations, policies or practices.
