Item 1.01 Entry Into a Material Definitive Agreement
On February 13, 2014, Highwater Ethanol, LLC entered into Amendment No. 1 to the Distiller's Grain Marketing Agreement with CHS, Inc. The amendment imposes a $2.00 per ton cap on the fee paid to CHS, Inc. for marketing the Company's distillers grains.
