On February 12, 2014, Griffon Corporation issued a press release announcing that it has commenced a cash tender offer and consent solicitation for any and all of its $550,000,000 aggregate principal amount of 7 1/8% Senior Notes due 2018 (CUSIP No. 398433 AF9). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
