Item 1.01. Entry into a Material Definitive Agreement.

On February 11, 2014, Fifth Third Holdings Funding, LLC and Fifth Third Bank entered into an Underwriting Agreement with Credit Suisse Securities (USA) LLC, on behalf of itself and as representative of the several underwriters (collectively, the “Underwriters”), for the issuance and sale of Class A-1 Auto Loan Asset Backed Notes (the “Class A-1 Notes”), Class A-2 Auto Loan Asset Backed Notes (the “Class A-2 Notes”), Class A-3 Auto Loan Asset Backed Notes (the “Class A-3 Notes”) and Class A-4 Auto Loan Asset Backed Notes (the “Class A-4 Notes” and, together with the Class A-1 Notes, Class A-2 Notes and Class A-3 Notes, the “Notes”) by Fifth Third Auto Trust 2014-1 described in the Prospectus Supplement dated February 11, 2014.

Attached as Exhibit 1.1 is the Underwriting Agreement.

The Registrant is filing the exhibit(s) listed in Item 9.01(d) below in connection with the issuance of the Notes.

This Current Report on Form 8-K is being filed in connection with the issuance of the Notes to satisfy an undertaking to file unqualified legality and tax opinions at the time of each takedown from the Registration Statement. Copies of the legality and tax opinions delivered by Mayer Brown LLP, counsel to the Registrant, in connection with the issuance of the Notes are attached hereto as Exhibits 5.1 and 8.1, respectively.
