Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(e)                                  On February 4, 2014, the Board of Directors (the “Board”) of Spirit AeroSystems Holdings, Inc. (the “Company”) approved the modification of the compensation arrangements for Larry A. Lawson, the Company’s President and Chief Executive Officer, effective as of February 7, 2014.  In each of 2014 and 2015, Mr. Lawson will be entitled to receive an award under the Company’s Long Term Incentive Plan with a value equal to 435% of his annual base salary (increased from 400%).  The Board also increased Mr. Lawson’s annual base salary from $1,000,000 to $1,050,000.

 

Other than as set forth herein, Mr. Lawson’s employment agreement with the Company will continue in full force and effect on its current terms.
