Item 2.02 Results of Operations and Financial Condition.

On February 10, 2014, Dycom Industries, Inc. (the “Company”) issued a press release lowering its second quarter fiscal 2014 revenue and results expectations and commenting on its third quarter outlook. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
