Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 10, 2014, David Friend, Chairman, President and Chief Executive Officer of Carbonite, Inc. (the “Company”) informed the Company’s Board of Directors that he would resign as President and Chief Executive Officer of the Company effective upon his successor being named. Effective upon such resignation, Mr. Friend will become Executive Chairman of the Board of Directors and will continue to advise the Company on key strategic initiatives.

Item 7.01 Regulation FD Disclosure

On February 10, 2014, the Company issued a press release announcing Mr. Friend’s intended resignation. A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated herein by reference.
