Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 7, 2014, Ms. Melendy E. Lovett, a member of the Board of Directors (the “Board”) of Trinity Industries, Inc. (the “Company”), notified the Company of her resignation from the Board, effective immediately. Ms. Lovett resigned from the Board of Directors in conjunction with her acceptance of an offer to become the Company’s Senior Vice President and Chief Administrative Officer. The February 7, 2014 press release regarding Ms. Lovett’s appointment by the Company and her resignation from the Board is being filed with this Current Report on Form 8-K as Exhibit 99.1.
