ITEM 1.01. Entry into a Material Definitive Agreement.

As previously disclosed, MVC Capital, Inc. (the "Fund") is party to a one-year, $50 million revolving credit facility (the “Credit Facility”), dated as of July 31, 2013, with Branch Banking and Trust Company (“BB&T”).

On January 31, 2014, the Fund increased the size of the Credit Facility with BB&T to $100 million.  As of that day, the Fund had outstanding borrowings under the Credit Facility of $100 million.  As part of the increase in the Credit Facility, the Fund was subject to a closing fee of approximately $50,000.  All other terms of the Credit Facility remain unchanged.

Borrowings under the Credit Facility continue to be secured by cash, short-term and long-term U.S. Treasury securities and other governmental agency securities whose purchase has been approved by BB&T.
