Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

The Board of Directors of PCS Edventures!.com, Inc. (the “Company”) has accepted the resignation of Dehyrl Dennis as a member of the board of directors of the Company. Mr. Dennis’ resignation is effective as of February 1, 2014. There were no disagreements between the Company and Mr. Dennis regarding his resignation.

The Company intends to appoint a new member to the Board of Directors in the near future.

On January 31, 2014, we appointed Britt Ide to our Board of Directors.

Britt E. Ide has no family relationships with anyone at PCS.

Britt E. Ide has over 20 years experience in business, engineering, and law working for companies including Battelle Memorial Institute, Boise Cascade Corporation, and Albertson’s, Inc. She has a B.S. in Mechanical Engineering, M.S. in Environmental Engineering and has a Juris Doctorate. As a former math and science tutor, Britt is a passionate advocate for engaging kids, especially girls, in STEM education and careers. Britt is President of Ide Law & Strategy, PLLC, a strategic consulting firm.
