On January 31, 2014, CytRx Corporation (“we,” “us,” “our” or the “Company”) reported that it had entered into an underwriting agreement (the “Underwriting Agreement”) with Jefferies LLC, as representative of the several underwriters, relating to our public offering of 11,500,000 shares of common stock for total gross proceeds of “$74,750,000 million,” which was in error. The correct total gross proceeds will be $74,750,000.
