(b)          On January 26, 2014, Joseph M. Sansom informed the Chairman of M&F Bancorp, Inc. (the "Company") and its subsidiary, Mechanics and Farmers Bank (“M&F Bank”), of his decision to retire from the Boards of Directors of the Company and M&F Bank, effective January 27, 2014. The Boards of Directors of the Company and of M&F Bank gratefully acknowledge Mr. Sansom’s 27 years of combined service and significant contribution to both the Company and M&F Bank.

Mr. Sansom’s retirement was not the result of any disagreement between the Company and Mr. Sansom.
