Item 2.02. Results of Operations and Financial Condition.
On January 31, 2014, Middleburg Financial Corporation (the “Company”) issued a press release reporting its financial results for the period ended December 31, 2013. A copy of the press release is being furnished as Exhibit 99.1 to this report and is incorporated by reference into this Item 2.02.

On January 31, 2014, the Company announced the declaration of a cash dividend of $0.07 per share to shareholders of record on February 14, 2014, payable on February 28, 2014.
