On January 27, 2014, Chris Bagley notified Prosperity Bancshares, Inc. (“Prosperity”) that he was resigning as Executive Vice President and Chief Credit Officer of Prosperity and Senior Executive Vice President and Chief Credit Officer of Prosperity Bank, effective January 29, 2014, to pursue another opportunity. Mr. Bagley’s responsibilities at Prosperity Bank will be handled as further described in the press release attached hereto as Exhibit 99.1 and incorporated herein by reference.
