Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
On January 22, 2014, Dr. Denis Burger resigned from the Board of Directors of Paulson Capital Corp. (the “Registrant”), and the Registrant’s Board appointed Alan P. Timmins to fill Dr. Burger’s vacancy. Mr. Timmins was also appointed to serve as a member of the Registrant’s Audit Committee.
There are no arrangements or understandings between Mr. Timmins and any other persons pursuant to which Mr. Timmins was selected as a director, and there are no transactions in which the Registrant was or is to be a participant and in which Mr. Timmins had or will have a direct or indirect material interest that are required to be reported pursuant to Item 404(a) of Regulation S-K.
