Item 1.02.  Termination of a Material Definitive Agreement.

 

On January 24, 2014, Central Federal Corporation ( “Central Federal”) announced that the Office of the Comptroller of the Currency (the “OCC”) has terminated the Order to Cease and Desist (the “CFBank Order”) that was issued by the Office of Thrift Supervision (the “OTS”) against Central Federal’s subsidiary, CFBank, on May 25, 2011.  The CFBank Order was terminated by the OCC, as successor to the OTS as the primary federal regulator of CFBank, effective as of January 23, 2014.

 

A copy of the press release announcing the termination of the CFBank Order is attached as Exhibit 99 and is incorporated herein by reference.
