Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 23, 2014, the Board of Directors of Automatic Data Processing, Inc. (the “Company”) appointed Michael P. Gregoire as a new director of the Company. Mr. Gregoire is chief executive officer and a member of the Board of Directors of CA Technologies, and has more than 25 years of experience in the software and information technology services industries. Prior to joining CA Technologies in January 2013, Mr. Gregoire was chairman, president and chief executive officer of Taleo Corporation, an on-demand software company.
