Other Events.
 
On January 17, 2014, the U.S. Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to the previously announced proposed acquisition of The Jones Group Inc. (the “Company”) by affiliates of Sycamore Partners, L.P. and Sycamore Partners A, L.P. (collectively, the “Sponsor”).  In addition, an exemption was available for the proposed subsequent transfer of ownership of certain of the Company’s business lines to separate controlled affiliates of the Sponsor.  The grant of early termination satisfies one of the conditions for consummation of the proposed acquisition.  The proposed acquisition remains subject to other customary closing conditions, including approval by the Company’s shareholders, and is currently expected to close in the second quarter of 2014.
