Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On January 16, 2014, Rudford Hamon notified the Company that he is tendering his resignation as the Company’s chief operating officer and executive vice president effective January 31, 2014.

There were no disagreements between Mr. Hamon and the Company regarding its operations or procedures.  A copy of this Form 8-k has been provided to Mr. Hamon.
