Item 8.01 Other Events.
On January 14, 2014, Crossroads Systems, Inc. (the “Company”) announced that the Company’s 2014 Annual Meeting of Stockholders (the “Annual Meeting”) has been scheduled for March 14, 2014. A copy of the Company’s press release is attached hereto as Exhibit 99.1. In accordance with Rule 14a-5(f) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), the Company’s Board of Directors has determined that proposals to be considered for inclusion in the Company’s proxy statement for the Annual Meeting pursuant to Rule 14a-8 under the Exchange Act must be received by the Company at its principal executive offices on or before January 24, 2014. In addition, in order for a shareholder proposal made outside of Rule 14a-8 under the Exchange Act to be considered “timely” within the meaning of Rule 14a-4(c) of the Exchange Act, such proposal must be received by the Company at its principal executive offices on or before January 24, 2014. Proposals should be directed to the attention of the Secretary, Crossroads Systems, Inc., 11000 North Mo-Pac Expressway, Austin, Texas 78759.
