Item 8.01                                           Other Events.

 

On January 13, 2014, a newly-formed subsidiary of Digital Generation, Inc. (“we” or the “Company”), The New Online Company, withdrew its request for acceleration of effectiveness with the U.S. Securities and Exchange Commission (the “SEC”) with respect to The New Online Company’s Registration Statement on Form 10 pending certification by The Nasdaq Stock Market (the “Exchange”) that The New Online Company’s common stock has been approved by the Exchange for listing and registration.  We expect the Exchange to approve The New Online Company’s common stock for listing and registration prior to our special Stockholders’ Meeting on February 3, 2014, and we will publicly announce the certification from the Exchange when we receive it.

The Company filed with the SEC on January 13, 2014 and mailed on or about January 13, 2014 to the Company’s stockholders of record as of January 3, 2014, a proxy statement in connection with the merger transaction (the “Proxy Statement”).
