Item 7.01 Regulation FD Disclosure.

On January 9, 2014, Bazaarvoice, Inc. (the “Company”) issued a press release, a copy of which is furnished herewith as Exhibit 99.1 and is incorporated herein by reference, regarding a decision rendered with respect to the lawsuit filed against the Company by the U.S. Department of Justice (“DOJ”).

 

Item 8.01 Other Events.

On January 8, 2014, the United States District Court for the Northern District of California, San Francisco Division, issued a confidential order with respect to the previously disclosed complaint filed against Bazaarvoice, Inc. (the “Company”) by the U.S. Department of Justice (“DOJ”). On January 9, 2014, the contents of the order became publicly available. The court ruled that the Company’s acquisition of PowerReviews, Inc. violated Section 7 of the Clayton Act, 15 U.S.C. Section 18 and ordered further hearings to address a remedy. The court has scheduled a case management conference for January 22, 2014 to begin remedy proceedings. The Company is evaluating whether to appeal the court’s decision. The Company’s appeal notice is not due until 60 days from the final judgment, which will not happen until the completion of the remedy proceedings.
