Explanatory Note

As previously reported, on March 23, 2013 Oncologix Tech, Inc., a Nevada corporation entered into an Stock Purchase Agreement with Dotolo Research Corporation and Clearview Medical, LLC. to acquire 1,000 shares of common stock of Dotolo Research Corporation, which represents all of the issued and outstanding shares of Dotolo Research Corporation. Pursuant to the Agreement, Clearview Medical, LCC sold all of the Common Stock of Dotolo Research Corporation for shares in the Company with an aggregate amount of 58,564 shares of a newly created Series D Preferred Stock (“New Preferred Shares”) being issued at their par value of $.001 which have a liquidation preference of $4,700,000. Clearview Medical, LLC is the owner of all of the shares of Dotolo Research Corporation, a corporation organized under the laws of the State of Florida, a manufacturer of medical device products principally used in colon cleansing and bowel preparation for Endoscopy, OB/GYN, marketed both domestic and internationally.

On March 27, 2013, we file a Current Report on Form 8-K to report this transaction. This Current Report on Form 8-K/A is being filed to amend Item 9.01 of the 8-K Report in order to provide the pro forma financial information required by Item 9.01(b).

BASIS OF PRESENTATION

The unaudited pro forma condensed consolidated balance sheet as of August 31, 2013, and the unaudited pro forma condensed consolidated statements of operations for the two years ended August 31, 2013 and 2012, are based on the historical financial statements of the Registrant.

 

The unaudited pro forma condensed consolidated balance sheet as of August 31, 2012, is presented as if the acquisition of the Company’s Medical Device Manufacturing Segment by the Registrant as described in the Explanatory Note to this Form 8-K/A occurred in its entirety on August 31, 2012.

 

The unaudited pro forma condensed consolidated statements of operations for the two years ended August 31, 2013 and 2012 are presented as if the acquisition of the Medical Device Manufacturing Segment by the Registrant as described in the Explanatory Note to this Form 8-K/A occurred on September 1, 2011. The unaudited pro forma condensed consolidated financial statements should be read in conjunction with the historical financial statements and notes thereto appearing in the Registrant’s Annual Report on Form 10-K for the fiscal years ended August 31, 2013 and 2012.

 

Preparation of the pro forma information is based on assumptions considered appropriate by the Registrant’s management. The pro forma financial information is unaudited and is not necessarily indicative of the results which would have occurred if the transactions described above had been consummated on September 1, 2011 for the pro forma condensed consolidated statements of operations and on August 31, 2012 for the pro forma condensed consolidated balance sheet, nor does it purport to represent the future financial position and the results of operations for future periods. In management’s opinion, all adjustments necessary to reflect the effects of the transactions listed above have been made.

A)The increase in assets and liabilities of the Medical Device Manufacturing segments as if the acquisition was consummated on August 31, 2012.

 

B)The increase in goodwill includes previous purchased goodwill as well as an increase in purchased goodwill upon the acquisition. The increase in Series D Preferred Stock and Additional paid in capital represents the preferred shares issued for the acquisition of Dotolo.
