On January 3, 2014, the registrant accepted the resignation of Adriaan van Zyl from his position as Executive Vice President and Chief Operating Officer of BofI Holding, Inc. and its subsidiary, BofI Federal Bank. Mr. van Zyl resigned to accept the position of Chief Executive Officer at California Business Bank.
