Item 2.02. Results of Operations and Financial Condition

On January 6, 2014, Level 3 Communications, Inc. ("Level 3") issued a press release relating to updated interest expense guidance for 2013. This press release is furnished as Exhibit 99.1 to this Form 8-K and incorporated by reference as if set forth in full.
