Item 5.02(b)                            Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 30, 2013, Warren D. Knowlton submitted notice of his resignation from the Board of Directors (“Board”) of Ameriprise Financial, Inc. (the “Company”) effective as of December 31, 2013. Mr. Knowlton informed the Board that he is resigning in order to focus on personal and other business commitments and that his resignation is not the result of any disagreement with the Company.

 

“On behalf of the Board and our Executive Leadership Team, I would like to thank Warren for his distinguished service to the Company,” said Jim Cracchiolo, chairman and chief executive officer. “Since joining us in 2006, Warren has made significant contributions to the development of our business and to our success in firmly establishing Ameriprise Financial as a financial services leader. We wish him the very best in his future endeavors.”
