Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 29, 2013, Erez Raphael, the Company’s President and Chief Executive Officer, was appointed to serve as a director on the Company’s Board of Directors. Mr. Raphael is a party to that certain Employment Agreement dated October 11, 2012, as amended on April 1, 2013 and August 30, 2013 (the “Employment Agreement”). A description of the terms of the Employment Agreement is disclosed in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on September 6, 2013, which is incorporated by reference herein. Aside from the Employment Agreement, Mr. Raphael has not been involved in any transaction with the Company that would require disclosure under Item 404(a) of the Regulation S-K.
