Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 25, 2013, Mr. Chaoying Li, a director of QKL Stores Inc. (the “Company”), provided notice of his resignation from the Board of Directors of the Company (the “Board”) for personal reasons, effective as of January 1, 2014. At the time of his resignation, Mr. Li also served as Chairman of the Compensation Committee and as a member of the Audit Committee and the Nominating and Corporate Governance Committee.

Mr. Li submitted his resignation to the Board via email on December 25, 2013. There were no disagreements between Mr. Li and the Company on any matter relating to the Company’s operations, policies or practices, which resulted in his resignation. A copy of Mr. Li’s resignation letter is included with this 8-K as Exhibit 17.1 and incorporate herein in its entirety by reference.

The Company has provided Mr. Li a copy of the disclosures it is making in this item 5.02. The Company has also provided him the opportunity to furnish the Company a letter addressed to the Company stating whether he agrees with the statements made by the Company in this Item 5.02, and, if not, stating the respects in which he does or does not agree. On December 31, 2013, Mr. Li provided the Company a letter in which Mr. Li stated that he agrees with the statements made herein. A copy of the letter is included with this 8-K as Exhibit 17.2.
