Item 8.01 Other Events.

On December 23, 2013, the Annual Report on Form 10-K (the “Form 10-K”) of Prime Global Capital Group Incorporated (“PGCG”, “we” or “us”) was inadvertently and prematurely filed through a miscommunication with its EDGAR filer. As such, the Form 10-K should not be relied upon. PGCG intends to file an amended Form 10-K on or about December 30, 2013.
