Item 3.02. Unregistered Sales of Equity Securities
On December 19, 2013, Biozone Pharmaceuticals, Inc. issued 12,946,891 shares of common stock to six noteholders upon conversion of notes from $0.10 to $0.20 per share. As a result, all amounts due and outstanding under these notes have been satisfied. The securities were issued in reliance upon the exemption provided by Section 3(a)(9) under the Securities Act of 1933.
