Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective December 18, 2013, James R. Biery was elected as director of the registrant and its subsidiary, DNB First, National Association. Since 1991 he has served as a President and Chief Executive Officer of the Pennsylvania Bankers Association (PBA). Mr. Biery will serve in the class of directors whose term expires in 2015.
Item 8.01. Other Events.
On December 18, 2013, DNB Financial Corporation and its wholly owned subsidiary, DNB First, National Association, announced the election of James R. Biery as a director of the registrant and DNB First, National Association. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
