On December 13, 2013, pursuant to the direction of the Quad/Graphics Voting Trust, the Board of Directors (the "Board") of Quad/Graphics, Inc. (the "Company") elected Dr. Kathryn Quadracci Flores, M.D., to the Board by the vote of the Board without shareholder approval. Dr. Quadracci Flores is expected to be appointed to serve on the Finance Committee of the Board.
