Item 1.01. Entry into a Material Definitive Agreement
On December 16, 2013, Geospace Technologies Corporation (the "Company") entered into a First Amendment (the "Amendment") amending its existing Loan Agreement dated as of September 27, 2013 (the "Prior Loan Agreement"), among the Company, certain domestic subsidiaries of the Company, as guarantors, and Frost Bank. The amendment modified the definition of the term Obligations in the Prior Loan Agreement to include the Company's Subsidiaries' obligations to Frost Bank incurred pursuant to swap agreements and related instruments.
The above description of the Amendment is qualified in its entirety by reference to the complete text of the Amendment filed as Exhibit 10.1 hereto, which is incorporated herein by reference.
