Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 12, 2013, Michael B. McCallister, Chairman of the Board of Directors of Humana Inc. (the “Company”), notified the Company that he intends to retire from the Board effective December 31, 2013. Effective upon Mr. McCallister’s retirement, the Board’s overall size will be reduced from 11 to 10 persons. Also on December 12, 2013, the Board of Directors elected Kurt J. Hilzinger (current Lead Independent Director) to serve as Chairman of the Board, effective immediately upon Mr. McCallister’s retirement.
