Item 8.01 Other Events.
On December 11, 2013, the Board of Directors of Valassis Communications, Inc. (“the Company”) declared a quarterly cash dividend of $0.31 per share payable to holders of the Company’s common stock under its existing cash dividend policy. The dividend will be paid on January 15, 2014 to holders of the Company’s common stock of record at the close of business on December 31, 2013.
On December 13, 2013, the Company issued a press release announcing the cash dividend. A copy of the press release is attached as Exhibit 99.1 hereto and is hereby incorporated by reference herein.
