Item 1.01 Entry into a Material Definitive Agreement.

 

Underwriting Agreement

 

On December 11, 2013, American Midstream Partners, LP (the “Partnership”) and certain of its affiliates (collectively, the “Partnership Parties”) entered into an underwriting agreement (the “Underwriting Agreement”) with Barclays Capital Inc. (the “Underwriter”), providing for the issuance and sale by the Partnership, and the purchase by the Underwriter, of 2,400,000 common units representing limited partner interests in the Partnership (the “Common Units”) at a price to the public of $22.47 per Common Unit (the “Offering”). The Offering of the Common Units was registered under the Securities Act of 1933, as amended (the “Securities Act”), pursuant to a Registration Statement on Form S-3 (Registration No. 333-183818) (the “Registration Statement”) filed with the Securities and Exchange Commission (the “Commission”) that became effective on November 27, 2013, as supplemented by a Prospectus Supplement dated December 13, 2013, as filed with the Commission on December 13, 2013, pursuant to Rule 424(b)(2) of the Securities Act. Pursuant to the Underwriting Agreement, the Partnership granted the Underwriter a 30-day option to purchase up to an additional 360,000 Common Units on the same terms as those relating to the Common Units sold by the Partnership in the Offering. The Offering is scheduled to close on December 17, 2013.

 

The Partnership intends to use the net proceeds of the Offering to fund a portion of the $60 million purchase price for the previously announced acquisition of Blackwater Midstream Holdings LLC (the “Blackwater Acquisition”).  In the event the Blackwater Acquisition is not consummated, the Partnership will use the net proceeds of the Offering to repay indebtedness under its credit facility and for general partnership purposes.  If the Underwriter exercises its option to purchase additional Common Units, the Partnership intends to use all the net proceeds from the sale of additional Common Units to repay a portion of the outstanding borrowings under its credit facility.

 

Pursuant to the Underwriting Agreement, the Partnership Parties agreed, among other things, to indemnify the Underwriter against certain liabilities, including liabilities arising under the Securities Act, or to contribute to payments the Underwriter may be required to make in respect of those liabilities. A copy of the Underwriting Agreement is attached hereto as Exhibit 1.1 and is incorporated by reference herein. The foregoing description of the terms of the Underwriting Agreement is qualified in its entirety by reference to this exhibit.

 

The Underwriter and its affiliates have, from time to time, performed, and may in the future perform, various financial advisory, commercial banking and investment banking services for us and our affiliates, for which they received or will receive customary fees and expense reimbursement. In particular, an affiliate of Barclays Capital Inc. is a lender under AL Blackwater, LLC’s credit facility and will receive a portion of the proceeds of this offering upon the completion of the proposed Blackwater Acquisition and any repayment of borrowings under that credit facility.

 

Amendment to Underwriting Agreement

 

On December 13, 2013, the Partnership Parties entered into an amendment to the Underwriting Agreement (the “Amendment”) with the Underwriter.  The Amendment was entered to amend the definition of “Execution Time” in the Underwriting Agreement and to make a technical change to Schedule II to the Underwriting Agreement to reflect the use of a permitted free writing prospectus in connection with the Offering on December 12, 2013.

 

A copy of the Amendment is attached hereto as Exhibit 1.2 and is incorporated by reference herein. The foregoing description of the terms of the Amendment is qualified in its entirety by reference to this exhibit.

On December 11, 2013, the Partnership issued a press release announcing the pricing of the Offering described in Item 1.01 of this Current Report on Form 8-K. A copy of the press release is furnished as Exhibit 99.1 hereto.
