On December 9, 2013, Cameron International Corporation (“Cameron”) issued a press release announcing the election of H. Paulett Eberhart as an independent director of the Company, effective December 9, 2013. The Board appointed Ms. Eberhart to serve as a member of the Audit Committee of the Company’s Board of Directors. Upon election, Ms. Eberhart was awarded an initial grant of 1,880 Deferred Stock Units pursuant to the terms of the Company’s Director Compensation program. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference into this item.
