Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On December 9, 2013, MagneGas Corporation, a Delaware corporation, (the “Company”) filed a Certificate of Amendment to the Company’s Certificate of Incorporation (the “Amendment”) with the Secretary of State of Delaware to decrease the number of authorized shares of common stock, par value $0.001 per share (the “Common Stock”) from nine hundred million (900,000,000) shares to ninety million (90,000,000) shares. A true and correct copy of the Amendment is attached hereto as an Exhibit and is incorporated herein by reference.
