On December 5, 2013, the Board of Directors of UNS Energy Corporation (UNS Energy) filled a vacancy on the board by electing David G. Hutchens as a director. In addition to his duties as a director, Mr. Hutchens continues to serve as President and Chief Operating Officer of UNS Energy and Tucson Electric Power Company. Additional information concerning Mr. Hutchens is included in our Annual Report on Form 10-K for the year ended December 31, 2012, Current Report on Form 8-K dated August 5, 2013 and 2013 Proxy Statement.
